Services

Grelin Health provides AI-powered billing, coding, revenue cycle management, and related healthcare services (collectively, 'Services').

Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use our site or services.

Account Registration

When you register an account or engage our services, you agree to provide accurate, current, and complete information and to keep it updated.

Acceptable Use

You agree not to misuse our Services or site. Prohibited uses include:

• Violating applicable laws or regulations
• Interfering with security, integrity or performance
• Attempting to gain unauthorized access
• Using automated means (bots, scrapers) contrary to our policies

Modifications

We may modify or discontinue (temporarily or permanently) portions of the site or Services, with or without notice. We are not liable to you for such modification, suspension, or discontinuance.

Your Content

Any data, documents, or materials you upload or submit ('User Content') remain your property, but you grant Grelin Health a license to use, host, display, reproduce, and process such content to provide services to you.

Prohibited Content

You may not submit content that is unlawful, infringing, harmful, defamatory, obscene, or otherwise objectionable.

Compliance

You are responsible for maintaining the confidentiality of account credentials, and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

Fees

Use of certain services may require payment of fees. Your use is subject to the payment terms presented at the time you engage those services.

Payment Methods

You agree to provide valid payment information (credit card, ACH, or other methods) and authorize us to charge you.

Refunds & Cancellation

Refunds, if any, will be handled in accordance with the refund policy in effect at the time. You may cancel services per the terms provided.

Late Payment

If you fail to pay on time, we may suspend or terminate your access and charge interest or fees, to the extent permitted by law.

Ownership

All rights, title, and interest in and to the site, Services, software, and content (other than your User Content) are owned by Grelin Health or its licensors.

License to You

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services.

Restrictions

You may not copy, modify, distribute, sell, reverse engineer, or create derivative works of our software or content, unless expressly permitted.

Confidential Information

'Confidential Information' includes nonpublic information disclosed in connection with the Services. Each party agrees to protect the other's Confidential Information with at least the same degree of care as it protects its own.

Data Privacy

Use, processing, retention, and disclosure of personal data through our Services will be governed by our Privacy Policy.

No Warranty

THE SERVICES AND SITE ARE PROVIDED 'AS IS' AND 'AS AVAILABLE,' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee

We do not guarantee results, accuracy, or uptime of Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRELIN HEALTH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE PRIOR 12 MONTHS (IF ANY).

Indemnification

You agree to defend, indemnify, and hold harmless Grelin Health and its officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement by your User Content.

Termination by You

You may terminate your account or Services according to the cancellation procedure we provide.

Termination by Us

We may suspend or terminate your access immediately, without notice, for breach of these Terms or if we believe your conduct is harmful to us or others.

Effect of Termination

Upon termination, your right to use Services ends. We may delete or disable access to your User Content. Sections that by their nature should survive (e.g. limitation of liability, indemnification) will survive.

If you opt in to receive SMS communications, the following additional terms apply, aligned with our Privacy Policy:

• We may send service, billing, appointment, or marketing messages (marketing only with explicit separate consent).
• Message frequency may vary; message & data rates may apply.
• You may opt out at any time (for example, by replying 'STOP'). We will send one final confirmation.
• Your phone number and opt-in status will only be used for communications as described and will not be sold or shared for third-party marketing.

We may revise these Terms at any time by posting a revised version on our website with a new 'Last Updated' date. Your continued use of our Services after changes constitute your acceptance of the revised Terms.

Choice of Law

These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflicts of laws principles (or other jurisdiction as applicable to Grelin Health).

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved first via good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration or litigation in state or federal court located in Delaware (or as otherwise agreed).

Class Waiver

To the fullest extent permitted by law, you and we each agree to bring claims only in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Our site or Services may include links to third-party websites, integrations, or services ('Third-Party Services'). We do not control, endorse, or assume responsibility for these Third-Party Services, their content, or their privacy or security practices. Use them at your own risk.

Severability

If a provision of these Terms is held invalid or unenforceable, that provision will be struck and the remaining Terms will remain in full force.

Waiver

Our failure to enforce a right or provision is not a waiver of that right or provision.

These Terms, together with the Privacy Policy and any additional terms we present to you when you engage specific services, constitute the entire agreement between you and Grelin Health regarding your use of our Services and supersede all prior or contemporaneous understandings.
